• Fees for services are outlined in the applicable Service Agreement or invoice.
• Payments are due as specified on the invoice. Late payments may incur a late fee of 1.5% per month on outstanding balances.
• All fees are non-refundable unless otherwise stated in a separate written agreement.
• Binardesk reserves the right to suspend services for accounts with past-due balances exceeding 30 days.
• Prices are subject to change with 30 days' written notice to active clients.

Specific service levels, response times, and deliverables are defined in individual Service Agreements or Service Level Agreements (SLAs) entered into between Binardesk and the client. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.

Binardesk will make commercially reasonable efforts to meet agreed-upon service levels but is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, power outages, or third-party service failures.

Consent & Opt-In

By providing your mobile phone number and checking the consent checkbox on our SMS Opt-In Consent page, you expressly consent to receive recurring automated text messages from Binardesk, LLC. Consent is not a condition of purchasing any goods or services. You may also opt in by texting START to +1 (833) 772-7922.

Message Frequency

Message frequency varies. You may receive up to several messages per week depending on your active services, open support tickets, scheduled maintenance windows, or opted-in promotional content. Transactional messages (e.g., security alerts, ticket updates) are sent as events occur.

Message & Data Rates

Message and data rates may apply. Standard SMS and data rates charged by your mobile carrier apply to all messages sent and received. Binardesk does not charge any additional fees for SMS communications.

How to Opt Out — STOP

You may opt out of SMS messages from Binardesk at any time by replying STOP to any message. After opting out, you will receive one final confirmation message confirming your removal. No further messages will be sent to your number unless you re-subscribe. You may also opt out by:

To the fullest extent permitted by applicable law, Binardesk, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from your use of or inability to use the website or services.

Our total aggregate liability for any claims arising from or related to these Terms or the services shall not exceed the total amount paid by you to Binardesk in the three (3) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Binardesk, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the website or services.

We reserve the right to suspend or terminate your access to the website or any services at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the public.

Either party may terminate a Service Agreement as specified in that agreement. Upon termination, all outstanding fees become immediately due and payable.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida, and you hereby consent to the personal jurisdiction and venue therein.

We reserve the right to modify these Terms at any time. We will indicate the revision date at the top of this page. Your continued use of the website or services after any changes have been posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
